Terms & Conditions

Please read these Terms of Service carefully before using the Payonclick India platform. By accessing or using our services, you agree to be bound by these terms.

01 Acceptance of Terms

By accessing, registering on, or using the Payonclick India platform (including our website, APIs, dashboards, and mobile applications), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these terms. If you do not agree with these terms, you must not access or use our services.

02 Definitions

  • "Company," "We," "Us," "Our" — refers to VVN MULTISERVICES INDIA Pvt. Ltd., operating under the brand name "Payonclick India."
  • "Platform" — refers to the Payonclick India website, APIs, dashboards, tools, and all associated services.
  • "User," "You," "Your" — refers to any individual or business entity accessing or using the Platform.
  • "API" — refers to the Application Programming Interfaces provided by Payonclick India for integration.
  • "Services" — refers to all financial and payment services available through our Platform, including AEPS, DMT, Recharge, BBPS, PAN, and Aadhaar-based services.
  • "Transaction" — refers to any financial operation initiated through our Platform.

03 Eligibility

To use our Platform, you must:

  • Be at least 18 years of age
  • Be a resident of India or a business entity registered in India
  • Have a valid PAN card and complete KYC verification
  • Not be barred from using financial services by any regulatory body
  • Provide accurate and complete registration information

We reserve the right to refuse or terminate access at our sole discretion if we determine that eligibility criteria are not met.

04 Account Registration & Security

When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials, API keys, and secret keys confidential and secure
  • Not share your account credentials or API keys with unauthorized parties
  • Immediately notify us of any unauthorized access or security breach

You are solely responsible for all activities that occur under your account. Payonclick India will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

05 API Usage & Fair Use Policy

By using our APIs, you agree to:

  • Rate Limits: Adhere to the API rate limits specified in your plan. Exceeding rate limits may result in temporary throttling or suspension.
  • Authentication: Use the provided API keys and authentication tokens securely. Never expose API keys in client-side code or public repositories.
  • Sandbox Testing: Use the sandbox environment for testing and development. Do not test with live credentials in production APIs.
  • Documentation: Follow the integration guidelines and best practices outlined in our API documentation.
  • Error Handling: Implement proper error handling and retry logic as documented. Do not overwhelm our servers with excessive retry attempts.

We reserve the right to modify API endpoints, features, or rate limits with reasonable prior notice. Breaking changes will be communicated via email and our developer changelog.

06 Payments, Commissions & Wallet

Wallet System

  • All transactions are processed through your Payonclick wallet balance.
  • You must maintain sufficient wallet balance before initiating transactions.
  • Wallet top-up methods and limits are as displayed on the Platform.

Commission Structure

  • Commissions are calculated as per the rate card applicable to your plan.
  • Commissions are credited to your wallet in real-time upon successful transaction completion.
  • We reserve the right to modify commission rates with 7 days' prior notice.

Settlements

  • Wallet-to-bank settlements are processed within the applicable settlement cycle.
  • Minimum settlement amounts and processing timelines may apply.
  • All payouts are subject to TDS deduction as per applicable Income Tax laws.

Failed Transactions

In case of failed transactions, the debited amount will be auto-refunded to your wallet within the specified timeframe. For stuck transactions, please raise a support ticket with the transaction reference number.

07 Prohibited Activities

You shall not use our Platform for:

  • Money laundering, terrorist financing, or any illegal financial activities
  • Processing transactions on behalf of unverified or fictitious individuals
  • Circumventing KYC requirements or using fraudulent identification
  • Reverse engineering, decompiling, or attempting to extract source code from our APIs
  • Introducing malware, viruses, or any harmful code to our Platform
  • Attempting to gain unauthorized access to other users' accounts or our systems
  • Using automated scripts or bots to access the Platform in ways not permitted by the API
  • Reselling or redistributing our API access without a valid white-label agreement
  • Violating any applicable local, state, national, or international law or regulation

Violation of this section may result in immediate account suspension, forfeiture of wallet balance, and legal action. We may also report such activities to the relevant authorities.

08 Intellectual Property

All content, technology, trademarks, logos, and materials on the Payonclick India Platform are owned by or licensed to VVN MULTISERVICES INDIA Pvt. Ltd. This includes:

  • Platform source code, UI/UX design, and architecture
  • API structure, documentation, and SDKs
  • The Payonclick brand name, logo, and associated marks
  • Marketing materials, content, and media

You may not copy, modify, distribute, or create derivative works from our intellectual property without express written consent.

09 Limitation of Liability

To the maximum extent permitted by Indian law:

  • Our platform is provided on an "AS IS" and "AS AVAILABLE" basis.
  • We do not guarantee uninterrupted or error-free service. Scheduled maintenance, third-party outages, or force majeure events may cause temporary disruptions.
  • We are not liable for losses arising from banking network failures, NPCI downtime, or partner API outages beyond our control.
  • Our total liability for any claim shall not exceed the fees paid by you in the 3 months preceding the claim.
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

10 Indemnification

You agree to indemnify, defend, and hold harmless VVN MULTISERVICES INDIA Pvt. Ltd., its directors, officers, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including legal fees) arising from:

  • Your use or misuse of the Platform
  • Violation of these Terms of Service
  • Violation of any applicable law or third-party rights
  • Transactions processed through your account
  • Content or data you submit through the Platform

11 Termination

By You

You may terminate your account at any time by contacting our support team. Upon termination, any remaining wallet balance (after deducting pending charges) will be settled to your registered bank account.

By Us

We may suspend or terminate your account, with or without notice, if:

  • You breach any provision of these Terms
  • Fraudulent or suspicious activity is detected on your account
  • You fail to complete KYC verification within the stipulated timeframe
  • Regulatory or legal requirements necessitate termination
  • Your account has been inactive for more than 12 consecutive months

Effect of Termination

Upon termination: API keys will be revoked, pending transactions will be completed or reversed, and wallet balance will be settled per our standard process. Sections regarding liability, indemnification, and dispute resolution survive termination.

12 Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Platform:

  • Step 1 — Negotiation: Both parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days. Contact us at support@payonclickindia.com.
  • Step 2 — Mediation: If negotiation fails, the dispute shall be referred to mediation through a mutually agreed mediator.
  • Step 3 — Arbitration: If mediation fails, the dispute shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in India.

13 Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in India.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
